Nigeria Reopens Probe into NNPCL’s Controversial OVH Acquisition

In a remarkable turn of events, the House of Representatives has decisively rejected the report from its Ad-hoc Committee, which had been tasked with probing the contentious acquisition of OVH Energy Marketing by the Nigerian National Petroleum Company Limited (NNPCL). The decision came after intense deliberation in a plenary session on Tuesday, fueled by the emergence of new evidence suggesting that the investigation may not have been conducted with due diligence.

At the heart of the controversy is a document penned by Huub Stokeman, the current Managing Director of NNPCL Retail and former Managing Director of OVH. Stokeman’s letter to the NMDPRA, requesting a license renewal for OVH even post-acquisition by NNPCL, has sparked concerns over a potential conflict of interest. This revelation has prompted lawmakers to delve deeper into the acquisition process, questioning the incomplete merger of the two entities despite the acquisition occurring two years prior.

Prompted by these findings, the House has called for a comprehensive review of the entire acquisition deal, including a closer examination of the terms, financials, and valuation reports to ensure the interests of the Nigerian public have not been compromised.

The task of this forensic investigation has been assigned to the Standing Committee on Petroleum Resources (Downstream), led by Hon. Ikenga Imo Ugochinyere. The committee is expected to thoroughly scrutinize the acquisition, which involves hundreds of billions of Naira, and provide a detailed report for further action.

This inquiry was initially spurred by concerns raised last July, following a motion by Hon. Miriam Onuoha and her colleagues, highlighting potential irregularities and corruption in NNPCL’s acquisition of OVH Energy Marketing. Onuoha pointed out discrepancies in OVH Energy’s claimed assets, suggesting a significant overvaluation that necessitated a deeper investigation.

NNPCL’s acquisition of OVH Energy Marketing was announced on October 1, 2022, as a strategic move to bolster its downstream portfolio and ensure national energy security. However, the transparency of this deal has been called into question, particularly in light of allegations regarding the overvaluation of assets and the formalities surrounding the merger of the acquired company.

Adding to the controversy, the Nigeria Transparency Council (NTC) has raised alarms over the acquisition process, challenging the legitimacy of the assets involved and the rapid succession of ownership changes. They have submitted a petition urging a more thorough examination of the financial transactions, valuation reports, and the curious case of company officials transitioning to significant roles within NNPCL Retail.

The House’s decision to reopen the investigation underscores the complexity of the acquisition and the necessity for transparency in such large-scale transactions. Legal experts and anti-corruption advocates have lauded this move, seeing it as a step towards accountability in public sector dealings.

As the House Downstream Committee embarks on this critical investigation, there is a growing call for the suspension of individuals implicated in the transaction to ensure an unbiased probe.
